Terms & Conditions for Territory Insights

1. Company Information

Territory Insights Ltd (Company No. 16557139), part of the GNB Group, operates an online service for estate and letting agents in the UK. These Terms & Conditions (“Terms”) govern your access to and use of the Platform, tools, and services (“Service”). By accessing or using the Service you agree to be bound by these Terms in full.

2. Definitions

Service: The software, tools, data, and content made available by Territory Insights Ltd including property and postcode-insight tools, campaign management, direct-mail facilitation, automation tools, WhatsApp/QR integrations, branding assets, and support documentation.
User or You: The person or entity who registers, accesses or uses the Service.
Account: Your registered user account, including login credentials, interface and personal settings.
Content: The data, documentation, templates, letters, reports, visuals, campaign definitions, brand assets and software functionality provided or accessible via the Service.
Campaign Tools: Features within the Service that enable you to identify homeowner/landlord leads, launch direct-mail or digital marketing campaigns, track interactions, and integrate with WhatsApp/QR.
Branding Tools: Any customisation features for your brand identity (logos, colours, letter-design templates) within the Service.

3. Description of Service

The Service enables you to:

Access detailed property and postcode-level insight data for off-market and on-market opportunities.
Launch and manage campaigns (e.g., direct mail, digital, WhatsApp/QR-enabled) aimed at motivated homeowners and landlords.
Automate specific workflows: e.g., campaign creation, follow-up sequences, data updates.
Use branding tools to personalise letters or materials for your agency.
Integrate with third-party data sources (such as the Land Registry) where enabled. Your success depends on how you use the Service; results are not guaranteed by Territory Insights Ltd.

4. Account Registration & Security

You must register for an Account using complete and accurate information and keep this information up to date.
You are responsible for all activity that occurs under your Account, and any login credentials you maintain.
You must notify us immediately if you suspect any unauthorised use of your Account or if your password is lost or compromised.
You must not share your login credentials with third parties, nor permit multiple users to use the same login unless explicitly permitted by us.

5. Service Availability & Maintenance

We aim to provide continuous access to the Service but do not guarantee uninterrupted or error-free operation.
Planned maintenance or updates may require temporary downtime — we will, where possible, provide advance notice.
We are not liable for downtime or data loss caused by circumstances beyond our control, including acts of third parties, network failures or force-majeure events.

6. Acceptable Use Policy

You agree not to use the Service for any unlawful or unauthorised purpose, including but not limited to:

Breaching any applicable law or regulation.
Infringing intellectual property or proprietary rights of any party.
Attempting to access or extract data from the Service in an undesired manner (e.g., scraping, reverse engineering).
Using the Service to distribute spam, malware or unwanted communications.
Conducting any activity which may damage the reputation, operation or performance of the Service or of Territory Insights Ltd.

7. Confidentiality & Non-Disclosure

The Service, Content and any associated materials are proprietary to Territory Insights Ltd and/or its licensors.
You agree not to disclose or share any non-public information about the Service or its underlying systems, except with authorised users under your control.
This clause survives termination of your Account.

8. Intellectual Property Rights

Copyright, database rights, trade marks, designs, patents and other intellectual property rights in the Service and Content remain with Territory Insights Ltd or its licensors.
You are granted a non-exclusive, non-transferable, revocable licence to use the Service and Content for your internal business purposes, subject to these Terms.
You may not copy, modify, distribute, sublicense or create derivative works from the Service or Content without express written permission.

9. Data Protection & Privacy

We comply with the UK GDPR and applicable data protection legislation.
We maintain appropriate technical and organisational measures to protect your data and the data you process via the Service.
Ownership of all data you upload or generate via the Service remains with you; we may only process it to provide the Service.

10. Cancellation, Suspension & Termination

You may request to deactivate or close your Account by notifying us at hello@territoryinsights.co.uk or via phone on 02045 380 809.
We reserve the right to suspend or terminate your access to the Service at any time, with immediate effect, if you breach these Terms, engage in unacceptable use, or act in a way that we deem detrimental to other users or the Service.
On termination your right to use the Service ends immediately. Any outstanding obligations or liabilities shall survive termination.

11. Indemnity

You agree to indemnify, defend and hold harmless Territory Insights Ltd, its officers, employees, agents and affiliates, from and against any and all claims, liabilities, damages, losses, costs or expenses (including legal fees) arising from your breach of these Terms, or your use of the Service in violation of these Terms.

12. Limitation of Liability

To the maximum extent permitted by law, Territory Insights Ltd will not be liable for any indirect, incidental, special or consequential loss or damage, including loss of profits, business, data or goodwill arising out of or in connection with your use or inability to use the Service.
Our total aggregate liability under or in connection with these Terms shall not exceed the amount you have paid (if any) to us for the Service in the six months preceding the claim. If no payment has been made, our liability is limited to £1.
Nothing in these Terms shall limit liability for death or personal injury resulting from our negligence, or for fraudulent misrepresentation.

13. Warranties & Disclaimers

The Service is provided “as is” and “as available”. To the extent permitted by law we disclaim all warranties, conditions or representations (whether express or implied) regarding the Service, Content or their fitness for any particular purpose.
You acknowledge that the Service depends on many factors outside our control (data accuracy, your marketing execution, response rates) and we cannot warrant specific outcomes.

14. Third-Party Services & Links

The Service may integrate with or link to third-party platforms, services or data (e.g., land-registry feeds, WhatsApp services). We do not guarantee the availability or performance of these third parties and are not responsible for their content, services, or any consequences of using them.

15. Amendments to These Terms

We may revise these Terms from time to time. We will provide at least 30 days’ prior written or emailed notice for material changes. Continued use of the Service after the effective date of changes constitutes your acceptance of the amended Terms.

16. Governing Law & Jurisdiction

These Terms and your use of the Service are governed by and shall be construed in accordance with the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction to settle any dispute.
